WC Studio Terms & Conditions

Welcome to WC Studio. These Terms and Conditions (“Terms”) govern your access to and use of WC Studio’s websites, hosting, software, APIs, downloadable products, and related services (collectively, the “Services”). By creating an account, clicking “I agree,” or otherwise using the Services, you accept these Terms and the following additional documents (together, the “Agreement”):

- Refund Policy
- Acceptable Use Policy (AUP)
- Cookie Policy
- End-User License Agreement (EULA) – applies to any downloadable plugin, theme, or other software you install locally
- Data-Processing Addendum (DPA) – available on request to customers subject to EU/UK GDPR or similar laws
If you do not accept the Agreement, do not use the Services.
1. Definitions

“Customer,” “you,” “your” | The individual or legal entity that creates an account or purchases Services. |
“Content” | All data, files, code, text, images, and other material you or your end-users upload to or run on the Services. |
“Order” | Any online signup form, invoice, or Service Order Form describing the Services you purchase. |
“Third-Party Service” | Any service or network not controlled by WC Studio. |
2. Eligibility & account security
- Age. You must be at least 16 years old (or the age of digital consent in your country) or have verifiable parental consent.
- Accurate information. Provide true, current, and complete registration data and keep it updated.
- Credentials. Keep passwords, API keys, and MFA codes secret. You are responsible for all activity under your account unless caused by WC Studio’s breach of this Agreement. Notify us immediately of unauthorised use.
3. Acceptable use
Your use of the Services must comply with our Acceptable Use Policy, which forms part of this Agreement. Key points:
- no illegal, harmful, or infringing activity;
- no malware, phishing, spam, or abuse;
- no attempts to bypass security or resource-metering limits.
We may throttle, suspend, or terminate Services that violate the AUP.
4. Orders, fees & payment
- Plans & add-ons. Fees and resource allocations are shown on your Order and the WC Studio pricing page.
- Billing cycle. Charges recur at the start of each billing period (monthly or annually) until you cancel.
- Taxes. Fees exclude all applicable taxes. You are responsible for paying them unless you provide a valid exemption certificate.
- Late payment. Overdue balances may incur 1.5% interest per month (or the maximum legal rate) and may trigger suspension.
5. Money-back guarantee & cancellations
- 30-day guarantee. Hosting plans and digital downloads are refundable within 30 days of purchase or first activation, consistent with our Refund Policy.
- After 30 days. Cancellations take effect at the end of the current billing period; past fees are non-refundable.
6. Service commitment & support
- Uptime target. WC Studio targets 99.9% monthly availability (excluding planned maintenance and force-majeure events).
- Support. Standard support is available 24 × 5 via ticket and chat, with emergency coverage for critical incidents.
- SLA credits. If monthly uptime falls below 99.9%, you may request a service credit as detailed in the AUP.
7. Backups & data export
- Backups. WC Studio runs nightly backups retained for 14 days; you are encouraged to keep your own copies.
- Export. Before termination, you may export Content using WordPress/WooCommerce tools or WC Studio’s backup feature.
8. Intellectual property
- WC Studio IP. The Services, software, documentation, and trademarks are WC Studio’s exclusive property. We grant you a non-exclusive, non-transferable licence to use them only as permitted in this Agreement.
- Your IP. You retain ownership of all Content. You grant WC Studio a limited licence to host, copy, and transmit Content solely to provide the Services.
- EULA. Downloadable plugins, themes, or other local software are licensed—not sold—under the EULA. If any downloadable component is released under the GPL or other open-source licence, that licence governs.
9. Third-party services & links
The Services may rely on or link to Third-Party Services. WC Studio is not responsible for third-party content, availability, or practices. Your use of such services is governed solely by their terms.
10. Privacy & data processing
WC Studio will process personal data in accordance with the Privacy Policy. If you require a GDPR-compliant Data-Processing Addendum, you may request it via [email protected]; once executed, it becomes part of this Agreement.
11. Disclaimer of warranties
The Services are provided “as is” and “as available.” Except as expressly stated, WC Studio disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
12. Limitation of liability
To the fullest extent permitted by law:
- WC Studio’s aggregate liability for all claims will not exceed the fees you paid in the 12 months before the event giving rise to the claim.
- WC Studio will not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, revenue, goodwill, or data, even if advised of the possibility.
13. Indemnification
You will indemnify and hold harmless WC Studio, its affiliates, and their officers, directors, employees, and agents from any claim arising out of:
- your Content;
- your breach of this Agreement; or
- your violation of any law or third-party right.
14. Suspension & termination
- Suspension. We may immediately suspend or restrict Services if required by law, for non-payment, or for AUP violations.
- Termination for cause. Either party may terminate for uncured material breach with 15 days’ written notice.
- Post-termination. Your right to use the Services ceases. We will delete or anonymise Content 30 days after termination, unless legally required to retain it.
15. Governing law & venue
This Agreement is governed by the laws of the State of New York, USA, without regard to conflict-of-law principles. The federal or state courts located in New York County, New York have exclusive jurisdiction, and each party consents to that venue.
16. Changes to this Agreement
We may update these Terms and any linked policy. Updated versions take effect on the “Last updated” date above. Material changes will be emailed to account holders at least 14 days before becoming effective. Continued use after that date constitutes acceptance.
